We are excited for the opportunity to serve you. Below are important details regarding the transition of your investments from BenefitWallet to HealthEquity.1

What will happen with my investments?

If you hold mutual funds in your BenefitWallet HSA investment account, it is anticipated that your mutual fund balances will transfer in-kind to HealthEquity, except for the Fidelity Money Market Government Portfolio (FRGXX).

In order to facilitate the in-kind transfer of mutual funds, there will be a period during which you will not be able to make any changes to your BenefitWallet HSA investments. This period is called an investment “blackout period” and is described below.

Transferred investment funds will be divided into three categories:

  1. Available Funds.The HealthEquity HSA investment platform offers a lineup of 31 low-cost, diversified Vanguard mutual funds that will be available for new investment at HealthEquity. Amounts invested in these funds are expected to transfer in-kind to HealthEquity and remain available under the HealthEquity platform.

  2. Freezing Funds. These mutual funds are expected to transfer in-kind to HealthEquity but will be closed to new investment. This means that you will not be able to invest new amounts in these funds after the blackout period starts, but amounts you invest in these funds before the blackout period will not be affected by the transfer to HealthEquity. You will be allowed to hold your investment in these funds or sell at any time after the blackout period ends.

  3. Liquidating Funds. Any liquidated mutual funds, including the Fidelity® Money Market Government Portfolio (FRGXX) will be liquidated to cash and transferred to HealthEquity with your cash assets. If you have a balance in a liquidating fund when the blackout period begins, that balance will be cashed out and available for reinvestment in Available Funds after the blackout period ends. If you wish to avoid this cash-out, you should transfer your balance from any liquidating funds into Available or Freezing Funds before the blackout period begins.

Blackout Period

An investment “blackout period” will take place prior to the transfer of funds to HealthEquity. Before the blackout period begins, you may move amounts into any of the Available Funds or Freezing Funds that are available to you. Investments made prior to the blackout period are subject to risk, including loss in value, during the blackout period. Amounts that you move to the Available Funds and Freezing Funds will be transferred to HealthEquity “in-kind” and you must agree to be subject to HealthEquity’s investment terms.

During the investment blackout period, you will be unable to direct or diversify the investments held in your BenefitWallet HSA investment account. Any investments remaining in an investor’s BenefitWallet HSA will be subject to market conditions, including the risk of loss in their existing account value. For this reason, it is very important that you review and consider the appropriateness of your current investments.

Following the transfer (when the blackout period ends), you will be able to move amounts (including the amounts liquidated to cash) to new investments that are available on the HealthEquity platform at any time.

Investment Terms

Investments on the HealthEquity platform are subject to the HealthEquity investment terms, which are contained in the Investment Supplement . By participating in the transfer of your HSA to HealthEquity, you are consenting to the terms in this Investment Supplement. In addition, if you decide to either change investments or invest the cash portion of your HSA, you will also be asked at that time to agree to the HealthEquity investment terms.

Investment Fees

Investments on the HealthEquity platform will be subject to investment fees (expense ratios) charged by the mutual funds, plus a monthly investment administration fee equal to 0.03% of your average daily investment balance (capped at $10.00 per month). In addition, if you subscribe to Advisor, a web-based robo-advisory service offered by HealthEquity Advisors, LLC, you will be charged an additional monthly fee of 0.05% of your average daily advised balance (capped at $15.00 per month).
